1. Who we are

StationReady ("StationReady", "we", "us", "our") is a software service operated by Virtus Nemeton Ltd, a company registered in England & Wales, with its registered office in the United Kingdom (the "Seller"). By using StationReady you are contracting with Virtus Nemeton Ltd. Please review the legal entity name and confirm any details you would like updated.

2. Acceptance

By creating an account, scanning a station QR code, or otherwise using the StationReady service (the "Service"), you agree to be bound by these Terms. If you are using the Service on behalf of a veterinary practice or other organisation, you warrant that you have authority to bind that organisation. Individual users must be at least 18 years old.

3. The Service

StationReady is a software product that lets veterinary teams identify anesthesia stations via QR code, complete pre-use readiness checklists, capture photo evidence of failures, and give managers real-time visibility of station readiness with an auditable trail.

4. Acceptable use

You must not misuse the Service. In particular, you agree not to: (a) use the Service for unlawful purposes; (b) commit fraud or send spam; (c) infringe intellectual property rights; (d) interfere with the security or integrity of the Service, including through malware, probing, scraping, or attempts to bypass access controls; (e) upload photos or content that contain identifiable patient owner personal data unless you have a lawful basis to do so; (f) use the Service in a manner that endangers animal or human welfare, or as a substitute for clinical judgement.

5. Accounts & credentials

You must provide accurate information, keep your account credentials confidential, and are responsible for activity under your account. Notify us immediately of any suspected unauthorised access.

6. Intellectual property

Virtus Nemeton Ltd retains all right, title, and interest in the Service, including software, documentation, checklists provided by us, branding, and the StationReady name and logo. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms during the term of your subscription. You must not reverse engineer, resell, or redistribute the Service, or circumvent its technical limits.

7. Your content

You retain ownership of checklists you configure, photos you upload, and other content you submit ("Your Content"). You grant us a limited, worldwide, royalty-free licence to host, process, and display Your Content solely to provide and improve the Service to you and your organisation.

8. Payment terms

Payments are processed on our behalf by Stripe Payments Europe, Ltd. ("Stripe"). By placing an order you also agree to Stripe's checkout terms (stripe.com/legal/end-users). Your contract for the Service is with Virtus Nemeton Ltd; Stripe is our payment processor. UK & EU VAT and other applicable sales taxes are calculated and collected automatically at checkout.

Prices are shown at checkout in USD unless otherwise stated. Subscriptions renew automatically at the end of each billing period unless cancelled. Setup fees are one-time and non-recurring.

9. Cancellation & refunds

You may cancel your subscription at any time from the customer portal (linked from your dashboard) or by contacting hello@virtusnemeton.co.uk. Refunds are governed by our Refund Policy.

10. Service level & availability

We aim for 99.5% monthly uptime, excluding scheduled maintenance announced at least 48 hours in advance. Critical, station-blocking issues are acknowledged within 4 UK business hours. We do not guarantee uninterrupted or error-free operation and the Service is not a substitute for clinical judgement.

11. Suspension & termination

We may suspend or terminate your access for: material breach of these Terms; non-payment; security or fraud risk; or repeated or serious policy violations. On termination we will give you a reasonable window (at least 30 days) to export Your Content before deletion.

12. Warranties & disclaimers

The Service is provided "as is" and, to the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence, or any liability that cannot be excluded under English law.

13. Limitation of liability

Subject to clause 12, our aggregate liability arising out of or in connection with these Terms is capped at the fees paid by you to Virtus Nemeton Ltd (via Stripe) for the Service in the 12 months preceding the event giving rise to the claim. We exclude liability for indirect, consequential, or special damages, including loss of profits, loss of data (beyond backup restoration), loss of goodwill, or business interruption.

14. Indemnity

You will indemnify Virtus Nemeton Ltd against third-party claims arising out of Your Content, your unlawful use of the Service, or breach of these Terms.

15. Data protection

Our processing of personal data is described in our Privacy Notice. Where you use the Service to process personal data as a data controller, we act as a data processor and our standard Data Processing Agreement (Article 28 UK GDPR) will apply on request.

16. Changes to the Terms

We may update these Terms from time to time. Material changes will be notified by email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.

17. Governing law & jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute, subject to any mandatory consumer rights you may have under the laws of your country of residence.

18. Force majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including internet outages, hosting-provider failures, industrial action, or governmental action.
